SafeToNet has also acquired one shareholder who is an MP: the far-right Restore leader Rupert Lowe bought £70,000+ of the company in 2024. (It's a very small slice.) The largest shareholder is a US private equity firm, Sun Capital, which has a history of doing what private equity firms do. 11/

They have subsequently credited God with ‘fully funding’ the company, making its software work and bringing it commercial partners. They have also had a meeting at the White House, met the Pope at the Vatican and have collaborated with several US Christian charities. 10/

SafeToNet also has a charitable foundation, which it launched in 2018. Despite a glossy website, the foundation has never had a single FTE staff member. In its last four years, it’s *total expenditure* (on staff, office costs and charitable activities) was £314. 8/

This matters because, while SafeToNet’s total turnover for 2024 was £19m, just £112 (one hundred and twelve pounds!) came from UK operations. Over 90% came from European operations, where SafeToNet owns 75% of a German chain of mobile phone stores - which seemingly refuses to be audited. 5/

This is far from the most troubling thing in the accounts. For the third year in a row, the auditors have said they couldn’t do their work because SafeToNet’s German subsidiaries refused to cooperate with them. And so, the UK company's directors elected, again, to file unaudited accounts. 4/
Basis for disclaimer of opinion on financial statements

We do not express an opinion on the group financial statements because we were unable to obtain sufficient appropriate audit evidence over a substantial proportion of the balances and disclosures within the financial statements.

The limitation on our work is in relation to the audit of Safetonet Deutschland GmbH, Safetonet Family Store GmbH and System-Repair Center GmbH, whose results comprise a significant part of the group accounts. The Directors of Safetonet Family Store GmbH and System-Repair Center GmbH, which are not wholly owned by Safetonet Limited, have appointed component auditors, but those auditors have not started their audit work nor provided us with access to information pertinent to the audit. Therefore the information within the group accounts in relation to the German subsidiaries is that which has been provided to us from management and no audit work has been able to be carried out over a significant element of the group figures.

The filing deadline for the financial statements for the year ended 31 December 2023 has now passed and, due to this deadline and the lack of response from the German subsidiaries, the Directors have concluded that there is no reasonable prospect of receiving this information and as a result, it is in the best interest of the group and its shareholders to file the financial statements at their earliest convenience, notwithstanding the fact that the audit is incomplete.

As a result of this limitation placed upon the scope of our audit work, we have been unable to obtain sufficient appropriate audit evidence concerning items included in the Consolidated Profit and Loss Account, the Consolidated Statement of Comprehensive Income, the Consolidated Balance Sheet, the Balance Sheet, the Consolidated Statement of Changes in Equity, the Consolidated Statement of Cash Flows, and notes to the financial statements. In addition, we have been unable to complete our audit proc…

On Monday, SafeToNet finally filed its 2024 accounts, showing a £5m loss. The company has now lost £17m+ in the last three years. According to its auditors, ‘If funds are not raised in the near future there are doubts over the group’s ability to continue as a going concern.’ 3/
Nonetheless, we draw attention to the disclosures in note 2 to the accounts regarding going concern, detailing the group's reliance on external funding to ensure that it can continue to operate. Just to round out looking at West Yorkshire. I think it typified the political earthquake. West Yorkshire has bits of everything - urban grad areas, more red wall seats, rural, mill towns, market towns, big minority communities. Reform now lead there, with Greens just behind Labour.
