Thank you for passing that on! I just emailed the campaign!

Campaign Strategy

Good afternoon,

I just learned about Rep. Kaptur's recent campaign ad in which she brags about 'voting with Republicans' against 'transgender ideology.' I am deeply disappointed in this capitulation to and endorsement of far-right talking points, especially given her support for the Equality Act and extending anti-discrimination protections for gender identity and sexual orientation.

Giving in to far-right rhetoric will not win over any voters; anyone who would be won over by this is already voting Republican. On the contrary, it is more likely to alienate LGBTQ+ voters and their allies in the core Democratic base, as Sherrod Brown learned in 2024. If this anti-trans shift is not reversed, it will hurt your campaign donations, hurt the party, and hurt vulnerable Democrats in other close races.

Trans people are not an "ideology," a "controversial topic," or an "issue" to be solved. They are our friends and family, our neighbors and fellow citizens. I urge Rep. Kaptur to reject the far right's bigotry and protect the most vulnerable--in the 9th District and across the nation.

Very truly yours,
Harold Jaffe

Concept art for Orange Julia's breakup hat from @thatguttershow.bsky.social Ep 9: Welcome to Hell (Mall) w/ @brennanleemulligan.bsky.social!
A blue baseball hat with white text describing the arc of a relationship from friends to lovers to breaking up and being just friends again. The 'o' in the word Baltimore is a tiny Baltimore Orioles logo.

Full hat text:

We struck up kind of a, I would say a friendship, and it became clear to me that you wanted more than that and the friendship was so significant to me that I was worried if there was a rejection that I would lose the friendship, and that was something that I didn't really want, and I have a heart made out of rotten peat and bog moss, and so I can't really feel romantic love but I knew that there were, that there was a cookie that would allow you to sort of feel love, a sort of love spell, and so I know a lot of people sort of use love spells on other people to make them fall in love, I used it on myself to make myself fall in love because I wanted to experience that, and I did fall in love and it worked, but what's so fascinating about a relationship is I discovered that they can fail even if there is genuine love there, that there are parts of compatibility that even live outside of genuine feeling. In other words, I thought feeling alone would be enough, and even though I fell deeply in love with you, the fact of the matter is, you know, you’re a, you’re a 43-year-old man who sort of got a late start, you, you want to have a family, I, I'm not interested in having a family, I want to teach you skateboarding and cool tricks and get you to bite tender lumps of flesh out of the calves and thighs of those who wander into the mall and, you know, you were sort of like, 'Would you ever want to go to Baltimore?' which is where I'm from, it's where my family's from, and I was like, 'I don't... eh... and I... ah...' It ended up being this thing where even though the affection was completely genuine and the feeling was totally sincere, for a relationship to work, it's not just about the affection, it's also about, do your lives make sense together?

I just emailed Kwame Raoul asking him to enforce the Illinois Human Rights Act and compel the hospitals that have capitulated to the Trump administration's illegal, unconstitutional EOs against trans healthcare to restore that care. Please join me! forms.illinoisattorneygeneral.gov/Forms/OAG_Co...
Your message to the Office of the Attorney General

Dear Attorney General Raoul,

I am grateful for your commitment to protecting access to gender-affirming care in the face of the Trump administration’s executive orders claiming to "protect children." We are lucky to live in a state where the legislation like the Illinois Human Rights Act requires health care providers to provide health care to all residents and prohibits unlawful discrimination on the basis of sex and gender identity.

As such I've been disgusted to hear about Illinois hospitals capitulating to these hateful, illegal, and unconstitutional executive orders and cutting trans healthcare for patients under age 19. UIHealth, UChicago Medicine, Rush University Medical Center and Lurie Children's Hospital have all stopped offering trans surgical care to minors, and Rush, UChicago Medicine, and Advocate Health Care have stopped providing trans medication care to patients under 18.

You have spoken eloquently and forcefully about your support for health care policies that respect the dignity and rights of all people, about the necessity of lifesaving medical treatment that supports individuals in living as their authentic selves. Please enforce the IHRA per the guidance of the Illinois Department of Human Rights and compel these hospitals to restore the trans healthcare they have rescinded.

Very truly yours,
Harold Jaffe

Do you understand the issue here? Do you understand what it looks like to talk about a "nearly impossible standard for parenting" immediately after describing people cutting off contact with their parents for physical or sexual abuse?
I suspect there’s some truth in all of these explanations. But I think there’s another reason, too, one that’s often been overlooked. Over the past few decades, Americans have redefined “harm,” “abuse,” “neglect” and “trauma,” expanding those categories to include emotional and relational struggles that were previously considered unavoidable parts of life. Adult children seem increasingly likely to publicly, even righteously, cut off contact with a parent, sometimes citing emotional, physical or sexual abuse they experienced in childhood and sometimes things like clashing values, parental toxicity or feeling misunderstood or unsupported.

This cultural shift has contributed to a new, nearly impossible standard for parenting. Not only must parents provide shelter, food, safety and love, but we, their children, also expect them to get us started on successful careers and even to hold themselves accountable for our mental health and happiness well into our adult years.

So I want to suggest that there’s another reason my generation dreads parenthood: We’ve held our own parents to unreachable standards, standards that deep down, maybe, we know we ourselves would struggle to meet.

Sokola replied on March 31:
Text of the first third of an email from Delaware Senate President Pro Tempore David Sokola (D-08):

Thank you for your follow up email. I apologize for not getting back to you after those questions that you posed. I will share with you an email I sent to constituents closer to the vote on SS1 for SB 21 with answers to the specific questions you raised incorporated within:

For the first time in Delaware history, there are many signals that companies are leaving for other states (Texas/Nevada) due to slight imbalances or lack of clarity in Delaware law. Several companies have left (including Meta, Dropbox, and at least four others have considered leaving. This threatens nearly 40 percent of our state budget, including revenues from franchise fees and unclaimed property. Every major company that leaves equates to an approximately $250,000 decrease in our state budget. Because of corporate revenues, Delawareans experience low property taxes and pay no sales tax, not to mention how these revenues enable the state to fund critical services to our communities.

Senate Bill 21 – later substituted with SS 1 for SB 21 – updates the Delaware General Corporation Law (DGCL) to affirm longstanding Delaware principles and make our law clear – specifically, clear rules for how corporate leaders can earn the deference of Delaware judges on certain kinds of plans/transactions. SS 1 for SB 21 maintains the law that directors/officers/controllers must act loyally to stockholders. SS 1 for SB 21 will also ensure that stockholders have access to key books and records of the company on short notice and shift all other documents to normal litigation pathways. Text of the middle third of an email from Delaware Senate President Pro Tempore David Sokola (D-08):

While the bill was drafted in what was considered an emergency, it was drafted by a group of Delawareans respected in this field, including a former DE Supreme Court Chief Justice, former DE Chancellor, an expert professor from Widener University - Delaware Law School, and in the end, by legislative attorneys in concert with the prime sponsor. Further, the Corporate Law Council reviewed the original SB 21 and endorsed it with modifications. In addition to speaking to media to clarify misinformation that was and continues to be disseminated about this legislation, the lead sponsor worked with all stakeholders and hear all views and opinions and requests for modifications. The bill was thereafter amended to SS1 for SB 21 found here:
https://legis.delaware.gov/BillDetail?LegislationId=141930

The substitute bill, SS 1 to SB 21 was introduced to clarify several factors in the original legislation. It reaffirms Delaware’s commitment to clarity and predictability. (1) Companies must make sure independent decision makers, not conflicted ones, make corporate decisions if they want approval from Delaware judges, and (2) Stockholders are entitled to see key corporate documents to check in on things, and then have access to more if they file a normal lawsuit. In Section 3 of the substitute bill, it’s made clear that Sections 1 and 2 of the legislation do not apply to any action or proceeding commencing on or before Feb. 17, 2025. Text of the last third of an email from Delaware Senate President Pro Tempore David Sokola (D-08):

The prime sponsor met with those of varying viewpoints over many weeks and has also been speaking to media across the spectrum to address a litany of mischaracterizations, some innocent and understandable and others - like the Elon Musk narrative – which I believe was more sinisterly created by forces absolutely looking to sabotage the process, taking advantage of an undeniable public outcry about Musk and his place in current affairs. The Senate Judiciary Committee was deliberate in its consideration of the bill on Wednesday, March 12th, and senators posed many questions stemming directly from comments and concerns we heard from our constituents. All of that is on the record. Further questioning of expert witnesses on March 13th during the Senate floor debate by members was intentional in order to voice points of criticism about the legislation and gain responses which are now reflected on the full Senate record. If you did not watch the debate, it can be found here:

I saw that this bill passed. I emailed Sokola and Pettyjohn again on Thursday, March 27, and Pettyjohn replied on Saturday, March 29.
Text of the first half of an email from Delaware Senate Minority Whip Brian Pettyjohn (R-19). My original questions are in purple and his replies are in red.

Harold,

Thank you for the opportunity to answer your questions. They are reflected below in red text.

-Brian

I've read that typically bills to change Delaware corporate law explicitly state that they don't apply to pending cases. Since, as you say, litigation regarding Elon Musk's compensation package at Tesla is currently on appeal to the Supreme Court, can you explain why there is no such language in SB 21? Would you be willing to amend it to explicitly exclude pending cases from this change?

Clarifying text to the intent of retroactivity was incorporated into Section 3 of the substitute bill. Retroactivity was also addressed in the testimony during debate, and can be viewed here.

[Link: https://sg001-harmony.sliq.net/00329/harmony/en/PowerBrowser/PowerBrowserV2/20240109/-1/4912?startposition=20250313150030&mediaEndTime=20250313150613&viewMode=3&globalStreamId=3]

Could you clarify what you mean by saying "We reviewed the first draft, made various suggestions and changes, and held the final pen" given that lead sponsor Brian Townsend has said that the final draft of the bill was written by John Mark Zeberkiewicz, a corporate lawyer at Richards, Layton & Finger which is representing Tesla in Delaware lawsuits? (https://spotlightdelaware.org/2025/02/19/delaware-corporate-law-change-sb-21/)

While John Mark was the scribe of the final version, he did so with input from the lead sponsor (Sen. Townsend), as well as former Chief Justice and Chancellor Leo Strine, Former Chancellor Bill Chandler, and Professor Larry Hammermesh. Additionally, changes were made as suggested by the Corporation Law Council and included in the substitute.Text of the second half of an email from Delaware Senate Minority Whip Brian Pettyjohn (R-19). My original questions are in purple and his replies are in red.

Finally, could you share which companies (and if possible which representatives of those companies) have been reaching out to you and what specific frustrations or concerns they've expressed?

I cannot share the specific companies and individuals. Many of the conversations I have with constituents are done with an expectation of privacy and confidentiality. Those conversations, in general terms, dealt with a creep in the rulings of the court cured by SS1/SB21, as well as certain administrative concerns with the Court of Chancery.

Thank you again. Any light you could shed on these questions would be much appreciated.

I look forward to the return of “normal order” within the process of the annual corporate law update. This certainly was not the ideal process in which to make the changes. If we left the process to normal order, it was the consensus that the changes that were required would have come too late for some companies, and they would have chosen redomestication rather than wait for these changes to take place.

Again, I appreciate the opportunity to engage on this. Have a good weekend,

Brian

As @dael.bsky.social already mentioned, Senate President Pro Tempore David Sokola (D-08) repeated the same talking points.
Text of an email from Delaware Senate President Pro Tempore David Sokola (D-08):

Thank you for your both your call on Friday and this email. SB 21 not a bill generated by Tesla or Musk’s lawyers. That narrative appears to have come from a CNBC story, and the story is inaccurate.

SB21 is not retroactive and would not affect the litigation regarding Elon Musk's compensation package at Tesla, currently on appeal to the Supreme Court. And, since Musk and his companies have left Delaware, no future Musk issues would relate to Delaware and this legislation.

SB 21 was drafted by a coalition of experts, at the invitation of the Governor and General Assembly leadership, and with full involvement and reflection of legislative leaders and our attorney. We reviewed the first draft, made various suggestions and changes, and held the final pen.

When in 2023/2024 Musk announced he was leaving Delaware, we did not view that as a threat to Delaware; this is about the many companies we have talked to the past few weeks in the wake of January 31 and February 1 who also have frustrations and already are leaving or are considering leaving.

This would be horrible from a State revenue perspective and a Delaware jobs perspective. I can assure you, my colleagues and I are focused on everyday Delawareans who depend on this leading part of our economy, and on both sides (stockholders and directors/officers) who all need each other in a balanced corporate framework. We all know, for Delaware corporate law to be sustainable, it must be balanced.

Best Regards,

David P. Sokola – 8th District

I emailed the bill's sponsors this morning. So far I've only heard back from Senate Minority Whip Brian Pettyjohn (R-19). He claims, "This is not about Musk at all, it is about the many companies we have talked to [...] who also have frustrations and already are leaving or are considering leaving."
Text of the first half of an email from Delaware Senate Minority Whip Brian Pettyjohn (R-19):

Thank you for your email. This is not a Musk bill.

That narrative appears to have come from a CNBC story, which is inaccurate due to its incompleteness. SB21 is not retroactive and would not affect the litigation regarding Elon Musk's compensation package at Tesla, currently on appeal to the Delaware Supreme Court. Furthermore, since Musk and his companies have left Delaware, no future Musk issues would relate to Delaware and this legislation.

As to your point that SB21 was drafted by Musk attorneys, that is also false. It was drafted by a coalition of experts, at the invitation of the Governor and General Assembly leadership, and with full involvement and reflection of legislative leaders and our attorneys. We reviewed the first draft, made various suggestions and changes, and held the final pen.

I will note, CNBC only published an excerpt of the Richards Layton & Finger statement that made it seem that RLF alone drafted it. CNBC (shockingly?) omitted the fuller statement that mentioned the coalition of drafters, not just an RLF attorney. A citation to what appears to be RLF's full statement provides important information. (Example: https://www.delawarepublic.org/politics-government/2025-02-18/del-lawmakers-propose-corporate-law-changes-amid-ongoing-departure-threats-and-musk-litigation)Text of the second half of an email from Delaware Senate Minority Whip Brian Pettyjohn (R-19):

When in 2023/2024 Musk announced he was leaving Delaware, we did not view that as a threat to Delaware and our reputation as the venue of choice for corporations. This is not about Musk at all, it is about the many companies we have talked to the past few weeks in the wake of the January 31/February 1 announcements who also have frustrations and already are leaving or are considering leaving.

It is critical that we stabilize our cooperate law to avoid an additional flood of companies leaving Delaware.

I am available to discuss more if helpful.
